These Terms of Service govern your use of the Avalia Studio website, online store, business services, products, and related features.

Avalia Studio is operated by UPGRADE PEOPLE CORP.

By using our website, placing an order, submitting a business request, or otherwise using our services, you agree to these Terms.

Using Avalia Studio

You may use Avalia Studio only for lawful purposes and in accordance with these Terms.

You may not attempt to interfere with the operation or security of the website, gain unauthorized access to systems or accounts, misuse website content, submit fraudulent information, or use our services in violation of applicable law.

Product Information

We make reasonable efforts to display products, colors, dimensions, pricing, descriptions, and photographs accurately.

Because many Avalia Studio products are handmade, assembled, personalized, or 3D-printed, minor variations may occur between individual products.

Screen settings may also affect how colors appear.

These normal variations are not necessarily defects.

Orders

Submitting an order represents a request to purchase the selected products.

We may decline or cancel an order when reasonably necessary, including because of product availability, pricing or listing errors, suspected fraud, payment issues, production limitations, or shipping restrictions.

If payment has already been collected for an order we cancel, the applicable amount will be refunded.

Prices and Payment

Prices are shown in U.S. dollars unless otherwise stated.

Applicable taxes, shipping charges, discounts, and other costs are shown before payment or order confirmation when applicable.

Retail orders may require payment at checkout through an available payment provider.

Payment card information may be processed by third-party payment processors rather than stored directly by Avalia Studio.

Business Orders for Cafés

Avalia Studio offers collectible figures and related collection programs for cafés and other eligible businesses.

Submitting a business order through the Business page is an order request and does not require immediate payment.

We review and confirm the order before payment. Depending on the order and location, available payment arrangements may include bank card, company bank transfer, or payment upon local delivery.

Estimated pricing shown in the Business calculator is based on the options selected by the customer. Any applicable promotional discount is revalidated when the order request is submitted.

Free Trial Boxes

Eligible cafés may request a Free Trial Box containing the quantity of figures stated on the current Business page.

A Free Trial Box is provided for testing the concept with real customers and does not require a purchase, subscription, or commitment to place future orders.

Trial availability may be limited by location, inventory, eligibility, or production capacity.

Submitting a Trial Box request does not guarantee approval or delivery.

Custom and Branded Collections

Custom and branded collections may require design, approval, production, or additional setup before fulfillment.

The customer is responsible for reviewing and approving names, branding, artwork, characters, text, and other materials supplied for a custom order.

You represent that you have the necessary rights and permissions to provide any logos, trademarks, artwork, characters, photographs, or other materials you ask us to use.

NFC and Digital Collection Features

Some business collection options may include NFC or related digital collection functionality.

Availability and functionality may depend on compatible devices, internet connectivity, browsers, third-party platforms, or other technical requirements.

Physical figures may continue to function as collectible products even when optional digital features are unavailable.

Promotional Codes

Promotional codes are subject to their stated expiration dates, usage limits, eligibility requirements, and discount percentages.

Unless otherwise stated, promo codes cannot be exchanged for cash.

We may deactivate a promo code if it was issued or used in error, fraudulently, or contrary to its stated terms.

Shipping, Returns, and Refunds

Shipping is governed by our Shipping Policy.

Returns and refunds are governed by our Refund Policy and any offer-specific guarantee presented at the time of purchase.

Those policies form part of these Terms.

Intellectual Property

The Avalia Studio website, brand, product photographs, original designs, graphics, written content, software, and other materials created by Avalia Studio are protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, reproduce, distribute, sell, modify, or commercially exploit Avalia Studio content without authorization.

Nothing in these Terms transfers ownership of Avalia Studio intellectual property to you.

Third-Party Services

Our services may rely on third-party providers for payment processing, shipping, hosting, analytics, communications, mapping, or other functions.

We are not responsible for independent services operated by third parties, and their own terms and privacy policies may apply.

Disclaimer

To the extent permitted by law, Avalia Studio services and website content are provided on an “as available” basis.

We do not guarantee that the website will always operate without interruption or error.

Nothing in these Terms limits any rights that cannot legally be waived.

Limitation of Liability

To the maximum extent permitted by applicable law, Avalia Studio and UPGRADE PEOPLE CORP will not be liable for indirect, incidental, special, or consequential losses arising from use of the website or products.

Our total liability relating to a specific paid order will not exceed the amount paid for that order, except where applicable law requires otherwise.

Continued use of the services after an update constitutes acceptance of the revised Terms to the extent permitted by law.
